AGM approves all resolutions (27 April 2007)
The Annual General Meeting of shareholders of Vedior N.V. today adopted the Company’s annual accounts for 2006. All resolutions on the agenda for the meeting have been voted on and approved.
A dividend will be paid to shareholders of € 0.2 million on the (depositary receipts of) preference B shares and a payment of € 51 million on the (depositary receipts of) ordinary shares. The payment per (depositary receipt of an) ordinary share is € 0.30, to be received fully in cash.
In addition, the Meeting approved the reappointment of Mr W.C.J. Angenent as a member of the Supervisory Board, as well as the reappointment of Mr C.K.Z. Miles and Mr. P. Valks as members of the Board of Management and the appointment of Mr G. Netland as a member of the Board of Management.
The meeting also approved the abolition of the bearer depositary receipt structure. In the coming weeks, all bearer depositary receipts will be replaced by ordinary shares. Depositary receipt holders will receive instructions for the procedure to be followed. In addition, following the cancellation of the preference B shares in July 2007, the Company will have one class of shares with equal voting rights.
