Today, 16 May 2008, settlement of the public offer made by Randstad for all issued and outstanding shares in the capital of Vedior will take place.

All previously proposed changes to Vedior’s Board of Management and Supervisory Board, as approved in Vedior’s Annual General Meeting of Shareholders held on 25 April 2008, are effective immediately.

As from today, Mr Leo Lindelauf and Mr Jacques van den Broek, both current members of the Executive Board of Randstad Holding have been appointed members of the Board of Management of Vedior. They join the existing Vedior Board members, Mr Brian Wilkinson and Mr Greg Netland, who both also have been appointed as new members of the Executive Board of Randstad Holding. Mr Tex Gunning steps down as CEO of Vedior effective today. He will continue to support the Integration Committee leading the integration of Randstad and Vedior.

Mr Ben Noteboom, CEO Randstad Holding, and Mr Robert-Jan van de Kraats, CFO Randstad Holding, along with Randstad Supervisory Board member Mr Jan Hovers, have all been appointed as members of the Supervisory Board of Vedior, effective from today. The new Supervisory Board is also comprised of current independent Supervisory Board members Mr Willy Angenent and Mr Dick Sinninghe Damsté.

The resignations of Mr Frits Vervoort and Mr Peter Valks as members of the Board of Management and of Mr Henri Giscard d’Estaing and Mrs Beverly Hodson as members of the Supervisory Board are in effect as of today as well. Mr Henri Giscard d’Estaing and Mrs Beverly Hodson have been appointed to the Supervisory Board of Randstad Holding.
